As we continue to expand our lending portfolio, digital capabilities, and regulatory footprint, we are seeking an exceptional Senior In-House Legal Counsel to join our leadership team.

Role Overview:

The Senior In-House Legal Counsel will serve as the principal legal adviser to the business, responsible for leading and managing all legal, regulatory, compliance, and litigation matters across the organisation.

This role requires a seasoned lawyer with strong commercial judgment, deep knowledge of CBN regulatory frameworks, and extensive experience in civil litigation, especially in lending, debt recovery, and financial services disputes.

The ideal candidate will be proactive, analytical, solutions-driven, and comfortable operating in a fast-paced, high-growth financial organisation.

Responsibilities:

1. Regulatory Compliance & CBN Advisory

· Provide expert legal advice on all matters involving the Central Bank of Nigeria (CBN), including compliance with:

o CBN Consumer Protection Regulations

o CBN Guidelines for Other Financial Institution/Digital Lending

o Anti-Money Laundering/Combating the Financing of Terrorism (AML/CFT) regulations

o Prudential guidelines, corporate governance requirements, and other supervisory expectations

· Lead the organisation's response to CBN queries, examinations, audits, and regulatory filings.

· Monitor and interpret regulatory developments impacting MIM Finance and ensure timely implementation.

2. Civil Litigation & Dispute Management

· Lead and manage all litigation involving MIM Finance, including:

o Debt recovery matters

o Contractual disputes

o Employment-related cases

o Consumer complaints escalated to external bodies

· Instruct, supervise, and manage external counsel to ensure effective representation.

· Develop strategies to reduce litigation exposure and improve customer dispute resolution.

· Lead preparation of witness statements, defence documents, court filings, and advisory opinions.

3. Contract Management & Corporate Advisory

· Draft, review, and negotiate a wide range of commercial agreements, including:

o Loan agreements

o Vendor and technology contracts

o Employment agreements

o Partnership, service-level, and outsourcing agreements

· Ensure all contracts protect MIM Finance's interests and meet legal/regulatory standards.

· Provide legal support to senior management on corporate governance, board matters, and risk management.

4. Policy Development & Internal Controls

· Lead the creation and review of internal legal and compliance policies.

· Ensure alignment with regulatory expectations and industry best practice.

· Train relevant teams on compliance, legal awareness, contract risks, and consumer protection.

5. Business Partnering & Strategic Support

· Advise the CEO and senior leadership on strategic initiatives, new products, and expansion plans.

· Evaluate legal and regulatory implications of business innovations and partnerships.

· Support internal teams (credit, operations, HR, collections, technology) with timely and practical legal solutions.

Required Qualifications & Experience:

Bachelor of Laws (LL.B) and Call to the Nigerian Bar (BL).

· Minimum 10 years post-qualification experience (PQE).

· Strong background in civil litigation, including active courtroom experience.

· Demonstrated expertise in CBN regulatory frameworks, lending regulations, and compliance matters.

· Experience within a financial institution, fintech, bank, or top-tier law firm advising regulated entities is highly desirable.

· Proven ability to manage external counsel and multiple litigation portfolios.

· Excellent analytical, drafting, negotiation, and communication skills.

· High ethical standards, sound judgment, and ability to operate autonomously.
